<p style="margin-left: 40px;"><span style="font-size:12px"><span style="font-family:arial,helvetica,sans-serif">Suppliers are responsible for ensuring that their products are labeled and are otherwise compliant with Prop 65 warnings.&nbsp; If Suppliers determine that any products they previously supplied to Bluestem Brands&nbsp;require a Prop 65 warning, they are solely responsible for supplying warnings.&nbsp; Inspection, approval, or&nbsp;assistance by Bluestem Brands regarding Suppliers&rsquo; warnings or warning methods does not relieve Suppliers from any of their obligations to comply with Prop 65 and their duty to defend, indemnify, and hold harmless&nbsp;Bluestem Brands if the compliance of their products is challenged.</span></span></p>
