Hey guys!!!

Just wanted to give you guys an update after meeting with Asher again
yesterday.  Things are moving forward and starting to really come together!

While i've already had some meetings and started working on it, we'll be
officially starting to build the website as of next week which is very
exciting.

Asher is going to work on getting the legal paperwork together to establish
the business, get bank account set up, etc

*Time Frame*:  We are hoping to have 50% of the funds by June 1st and then
the remaining 50% by August 1st.  This may end up moving back slightly to
the 15th of the month.  The goal is to rent a home in August and open in
November/December.  It'll be almost impossible to rent a house in Malibu in
July because it's the crazy busy season there, so goal is to rent in August
or potentially even September if we can find anything.

Let me know if June 1st would work for you both or if you would want to
have a bit more time?

The other nice thing that came up yesterday was if we really can't find a
suitable place and need to push back opening to January, Asher said he can
definitely hire me at Transcends (his other business) so i can earn some
money while not depleting funds we've raised for this venture.  Just nice
to know there's a backup and also that we dont need to rush into anything
and while i'm in a good spot financially to not have an income right now, i
dont want to totally deplete my savings!

*Profit Distribution*:  When there is profit to be distributed it will work
in the following way.  50% of any profit would go back to investors and the
other 50% would get distributed amongst ownership.  So if we had 100k
profit to distribute, 50k would be split between you guys and Asher (25k to
asher, 25k back to you guys) as per your investment and the other 50k would
get distributed amongst ownership with you guys getting 10% of that as
well.   This would stay in place until you have all received your initial
investment back and then it will just get distributed per everyone's share.

Initially Asher and I will each own 45% of the business and you guys will
own a combined 10%.  Dustin, assuming he comes along, will have the ability
to earn up to 10% of the business but will most likely get vested over the
next few years.  This would obviously come out of Asher and my share.

*What I need from you guys:*
1.  obviously want to confirm that everyone is comfortable and wanting to
do this!
2.  assuming the answer to that is 'Yes', Asher needs to know the name of
who the investor(s) will be for the legal paperwork.  I'm not sure how you
guys wanted to structure that but if you can try and get back to me over
the next 48-72 hours would be great.


David - i was planning to come and see you guys tomorrow in Santa Monica so
we can always talk over things in person.


With things at Paradigm finally moving into background it's all really
starting to settle in and I couldn't be more excited!!!!!  I'm beyond
grateful that you guys are wanting to help with this!!!
